Terms of Service

These terms cover two things: using nbt360.com, and the general basis on which NBT 360 FZE (“NBT360”, “we”, “us”) works with clients. Each project is governed by its own written proposal or agreement; where that document and these terms differ, the project document wins.

1. Using this website

You may browse nbt360.com and use its forms to contact us. You may not scrape the site, attempt to disrupt it, or reuse its content, code or design outside of ordinary browsing without our permission. Everything on the site — copy, illustrations, code and the NBT360 name and logo — belongs to NBT 360 FZE unless stated otherwise. Client store names and screenshots shown in our portfolio belong to those clients and appear with their permission.

2. Quotes and proposals

Anything we send before a signed proposal is an estimate based on what you have told us and what we can see from the outside of your store. A proposal becomes binding when you confirm it in writing (email is fine) and, where a deposit applies, once the deposit is paid. Quotes are valid for 30 days unless the proposal says otherwise.

3. Scope and changes

Every proposal describes what is included. Work that falls outside it — new features, extra pages, additional integrations or rounds of revision beyond those listed — is quoted separately before we start it. We will always tell you when something is out of scope rather than quietly absorbing or charging for it.

4. Your responsibilities

To keep projects on schedule we rely on you to provide content, product data, brand assets, approvals and access (for example Shopify staff accounts and app permissions) in reasonable time. Delays in providing these may move the delivery date. You confirm that the material you give us is yours to use and does not infringe anyone else’s rights.

5. Payment

Payment terms and milestones are set out in each proposal. Invoices are due within 14 days unless stated otherwise. Prices are in the currency stated on the proposal and, where applicable, are subject to UAE VAT at the prevailing rate. If an invoice is overdue we may pause work until it is settled. Monthly support plans are billed in advance and can be cancelled with 30 days’ written notice.

6. Ownership of the work

Once a project is paid in full, you own the deliverables we created specifically for you: theme code, custom sections, custom apps written for your store, designs and copy. We keep ownership of our own pre-existing tools, libraries and know-how used to build them, and you receive a permanent licence to use those as part of your deliverables. Third-party software (Shopify itself, apps, fonts, stock media) stays under its own licence terms. We may reference the project and show non-confidential screenshots in our portfolio unless you ask us not to.

7. Confidentiality

We keep your business information, sales data and store credentials confidential, use them only to deliver the work, and remove our access when a project ends unless you keep us on support. We ask the same of you regarding our proposals and pricing.

8. Third-party platforms

Our work runs on Shopify and connects to third-party apps and services. We are not responsible for changes, outages, pricing or policy decisions made by those platforms, though we will help you respond to them. Your use of Shopify is governed by Shopify’s own terms.

9. Warranties and liability

We deliver work with reasonable skill and care and fix defects in our own work reported within 30 days of delivery at no charge. We cannot guarantee specific commercial outcomes — sales, conversion rates or search rankings depend on many things outside our control. To the extent permitted by law, our total liability for any project is limited to the fees you paid us for that project, and we are not liable for indirect or consequential losses such as lost profit.

10. Ending an engagement

Either side may end a project with written notice. You pay for work completed up to that point, and we hand over what has been produced. Support plans end at the close of the notice period described in section 5.

11. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah, and disputes are subject to the courts there, unless a project agreement specifies otherwise.
